Where securities law shows up uninvited
A surprising number of corporate transactions are also securities transactions. Issuing equity to an investor, a key employee or a joint venture partner; restructuring ownership; buying out a shareholder with a note. Having the same lawyer see both the corporate and the securities dimension at the same time is not a luxury — it is how you avoid discovering the second one afterward.
